The 52nd Lecture of the BNU Zhuhai Legal Lecture Series Titled "Commercial and Judicial Functions of Company Law - Issues Concerning the Application of the New Company Law and Judicial Interpretation Concepts" Was Successfully Held

On May 14, the 52nd lecture of the BNU Zhuhai Legal Lecture Series, titled "Commercial and Judicial Functions of Company Law - Issues Concerning the Application and Judicial Interpretation Concepts of the New Company Law," was successfully held in Room C306, Lize Building, Beijing Normal University at Zhuhai. This lecture was given by Zhao Wanyi, Professor and Doctoral Supervisor from the School of Civil and Commercial Law at Southwest University of Political Science and Law. Guo Yuan, Lecturer from the Center on the Rule of Law and Development of Beijing Normal University at Zhuhai, served as the panelist. The event was presided over by Professor Yuan Zhijie, Vice Dean of the Law School of Beijing Normal University and Director of the Center on the Rule of Law and Development of Beijing Normal University at Zhuhai. Master's and doctoral students from BNU Zhuhai participated in the lecture.



Prior to the formal commencement of the lecture, the host, Professor Yuan Zhijie, introduced the speaker, Professor Zhao Wanyi, with due solemnity. Professor Zhao holds concurrent positions as Vice Chairman of the Academic Committee of the Civil Law Research Association of the China Law Society, Vice President of the Law Research Association of the China Law Society, and Vice President of the Law Journal Research Association of the China Law Society. Renowned for her substantial academic contributions, Professor Zhao has authored six monographs, edited more than forty textbooks, monographs, and reference works, and has had over 180 scholarly articles published. She has also spearheaded key initiatives such as the National Social Science Fund's "Seventh Five-Year Plan." Professor Zhao's accolades include nominations for the 3rd and 4th China Outstanding Young and Middle-aged Jurist Awards and the distinction of being named among the first "Top Ten Outstanding Young and Middle-aged Legal Experts" in Chongqing.



In this lecture, Professor Zhao Wanyi deeply analyzed the core position of the Company Law in China's economic and social development and its close connection with the Civil Code, with the revision of the Company Law as the background. He accurately pointed out three directions that deserve our high attention in the revision of the Company Law.



The initial segment of the lecture addressed the value conflict and synthesis between civil law and corporate law. Professor Zhao Wanyi commenced her analysis from the drafting phase of the Civil Code, highlighting that the Civil Code encapsulates a human-centric ethos, whereas the Company Law is more focused on the pursuit of profit objectives. This dichotomy has given rise to a conflict and subsequent integration between the humanism of the Civil Code and the materialism inherent in the Company Law.

In the second portion, Professor Zhao Wanyi delved into the pivotal role of the principle of good faith within corporate law. By referencing various provisions of the Civil Code, she elucidated the profound significance of the principle of good faith and credit, examining its critical function in governing market transactions, fostering fair competition, and establishing robust corporate social responsibility. She underscored the necessity of delineating and reinforcing the principle of good faith in the context of company law.

The final section of the lecture discussed structural innovation and the transformation of governance models within the context of company law reform. Professor Zhao Wanyi touched upon reforms to the registered capital system and the innovative governance of corporate equity structures. These reforms are aimed at enhancing the efficiency and equity of business operations, while also securing the stability and transparency of the capital markets.

Throughout the lecture, Professor Zhao Wanyi profoundly illuminated the instrumental role that company law plays in advancing social and economic progress and in protecting the rights and interests of various stakeholders.



In the course of the dialogue, Mr. Guo Yuan articulated the influence of the humanistic ethos enshrined in the Civil Code upon corporate law, particularly as it pertains to the perspective of company employees. He conducted an in-depth analysis on the methodologies for striking a balance between the humanistic principles and the public interest within the framework of company law.



As the lecture drew to a close, Professor Zhao Wanyi's eloquent and insightful presentation prompted the attending students to engage in profound contemplation regarding the application of the new Company Law and the principles of judicial interpretation. The students conveyed their immense gratitude for the knowledge imparted, lauding the high caliber of the lecture.
